This Guaranty of Advertising Contract (hereinafter “Guaranty”) is made on (hereinafter the "Effective Date") by (hereinafter “Guarantor(s)”) to Better Publications, LLC (hereinafter “Publisher”).

            WHEREAS, Publisher has agreed to enter into a written advertising contract (hereafter “Contract”) with (hereinafter “Advertiser”) for the provision of certain advertising services to Advertiser; and

            WHEREAS, Publisher is unwilling to enter into the Contract with Advertiser unless Guarantor guarantees Advertiser’s obligations under the Contract. 

            NOW, THEREFORE, in order to induce Publisher to enter into the Contract with Advertiser, Guarantor hereby guarantees to Publisher: 

1.                  The prompt and punctual payment by Advertiser of all sums which become due pursuant to the terms of the Contract, including Publisher’s reasonable attorney’s fees and costs, in the event a collection proceeding against Advertiser and/or Guarantor is necessary to collect any amounts due and owing under the Contract; and

This is a guarantee of payment and not of performance, and the obligation of Guarantor shall be direct and immediate and not contingent.  Guarantor agrees that Publisher may, without notice to Guarantor, and without affecting Guarantor’s liability under this Guaranty, extend the time for the performance of Advertiser’s obligations under the Contract and/or release any security given by Advertiser to secure Advertiser’s obligations under the Contract.  Publisher and Advertiser may also, without notice to Guarantor and without affecting Guarantor’s liability under this Guaranty, enter into such modifications, extensions and/or amendments of the Contract as Publisher and Advertiser may from time to time determine, and neither Guarantor’s obligations to make payment in accordance with the terms of this Guaranty nor any remedy for the enforcement hereof shall be impaired, changed or released, in any manner whatsoever, by any release, impairment or limitation of the liability of the Advertiser’s estate in bankruptcy or other creditors’ proceeding under any statute or from the decision of any court.            The Guaranty set forth herein is a continuing guaranty and this Guaranty and the liability of Guarantor hereunder shall continue and remain in full force and effect until Advertiser has fully performed Advertiser’s obligations under the Contract and any modifications, extensions and/or amendments thereof.  This Guaranty shall inure to the benefit of Publisher, its successors and assigns, and shall be binding upon the heirs, personal representatives, successors and assigns of Guarantor.               If more than one Guarantor executes this Guaranty, all Guarantors shall be jointly and severally liable under this Guaranty.            Guarantor agrees to pay attorney’s fees and all other costs and expenses which may be incurred by Publisher in the enforcement of this Guaranty.             In the event any provision of this Guaranty shall be determined to be invalid or unenforceable, the remaining provisions of this Guaranty shall remain in full force and effect.            This Guaranty constitutes the entire agreement between the parties and shall not be modified or amended except in writing.            Where appropriate to the context, language expressed in (i) one gender shall include the other gender, and (ii) the singular shall include the plural and vice versa.            This Guaranty shall be governed by and construed in accordance with the laws of the State of Virginia.
